Terms of Service - BandSharp

These terms apply to the use of BandSharp, a software service operated by ESK Marketing Services Ltd (company no. 516791738). Opening a band, or joining one, means accepting these terms. Where a separate signed commercial agreement exists between us, that agreement prevails over this page wherever the two differ.

1. What the service is

BandSharp is an app for managing songs, rehearsals, performances and gig booking, for the use of a musical group. It installs as an app in the browser (a PWA), works without a network, and syncs across every player's devices when there is a connection. We add capabilities as we go; we will not remove a material capability you use without notice.

• An account is personal. A user is a person, not a role - sharing an account between players is not permitted, and is not necessary: every player gets their own account inside the band.
• The band's manager is the one who adds and removes players, and sets each one's role.
• The service is intended for people aged 16 and over. A younger player may be in a band on the manager's responsibility and with a parent's consent.

2. Trial, payment and renewal

A new band starts with a free trial, with no credit card, in which every capability is open. If you do not continue, nothing is charged - you do not have to cancel actively to avoid a charge.

The price is for the whole band, per year, in a bracket set by the number of players. It is published on this site's pricing page and read from there; we do not write it here, so that no document goes on quoting an old price. A player joining mid-year is added immediately, and if that crosses a bracket the difference is charged at renewal rather than mid-term.

Payment is arranged with ESK Marketing Services Ltd outside the app - there is no checkout inside the product and we hold no card details. Non-payment after the period ends moves the band to a limited state in which the data is retained; it deletes nothing.

3. Your content is yours

The songs, recordings, setlists, venues and materials you upload are yours. We process them in order to run the service for you and for nothing else: we will not sell them, rent them, or train models on them. The full detail is in the privacy policy.

Copyright in the content you upload is your responsibility. Uploading lyrics, notation or a recording you have no right to hold is not permitted, and we do not inspect your content in advance.

4. The shared list - the rules for contributing

The shared venue list is edited by the bands that use it. A contribution to it is visible to every band with access, carries your first name, and is recorded in the record's change log. That explanation is shown in the app before your first read, and your acceptance of it is recorded.

• Contact details - only what you are allowed to share, and only professional ones. The phone and email a person gives out for their work, not their private details.
• Whoever added a record may leave it closed to edits, in which case only they correct it. Deleting a record is reserved to whoever added it.
• We may remove details from the list at the request of the person they belong to, without asking whoever added them.
• The list is for use inside BandSharp. Systematically harvesting it, exporting it or reselling it is not permitted.

5. The links you create

A press-kit link and a song-share link are addresses that cannot be guessed, but they work for anyone who receives them. Who you send them to, and who those people forward them to, is your decision. Both expire on their own and both can be revoked instantly from inside the app; if a link has reached hands you did not intend, revoking it is the right move and it takes effect at once.

6. Unacceptable use

• Uploading unlawful content, or content you have no right to hold.
• Attempting to reach another band's data, to get around permissions, or to test the system without our written permission.
• Using the service to send unsolicited mail contrary to law.
• Reselling the service or giving a third party access to it without our written agreement.

7. Availability

We run the service with reasonable effort and fix faults as quickly as we can, but we do not commit here to a numeric availability target, and will not write one until there is measurement behind it that we meet. If we do commit, it will be written here explicitly.

The app works without a network: whatever has already synced to the device is available on stage with no signal and with our server unreachable. That is the product's central design property, and it is what makes a fault on our side something a performance can survive.

8. Ending the service

You may stop at any time. Cancellation takes effect at the end of the period already paid for, and access is kept until then. A player leaving a band receives a private archive of what they themselves put in, with songs and recordings - it is kept 182 days and deleted after three notices; the detail is in section 9 of the privacy policy.

We may suspend an account that breaches the “unacceptable use” section, and we will explain what is at issue before doing so, unless the breach requires immediate action.

9. Liability

The service is provided as it is. We are not liable for indirect or consequential loss, and in any event our total liability is limited to the amount you paid in the twelve months before the event. Nothing here limits liability that the law does not allow to be limited.

Backup is our responsibility and we run it nightly, but the content you upload is yours and we recommend you keep your own copy of anything that has no other source.

10. Governing law and jurisdiction

These terms are governed by Israeli law, and the courts of the Central District, Tel Aviv have exclusive jurisdiction.

The Israeli Consumer Protection Law (1981) gives rights to a purchaser acting as a consumer; those rights stand alongside this page and are not reduced by it.

11. Changes to these terms

If we change these terms materially we will say so in the app before the change takes effect. The date at the top of the page is the date this wording applies from.
